To ensure effective statutory and corporate governance in assisting the Group Company Secretary in providing and managing full company secretarial and ancillary services to the Group as required by the Companies Act, corporate regulatory framework and company requirementsCompany Secretarial:
Manage all statutory reporting requirements for the Group and its subsidiariesAdvising the Board/ relevant committees/EXCO with guidance as to their legal obligations, duties, responsibilities and powersEffective facilitation of Board ProcessesFacilitating and organising of shareholder, Board, Board committee and EXCO meetingsMaintaining accurate and updated statutory books, including registers of members, directors and secretariesCertifying in the annual financial statements that the company has lodged all relevant returns with the RegistrarTimeously dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant Group stakeholders;
Ensuring thata copy of the annual financial statements are sent to every person entitled to receive itMonitoring changes in relevant legislation and the regulatory environment and taking appropriate actionPreparation of minutesAdvising Board/EXCO/relevant committeesMembers registerCIPIC recordsAnnual Financial StatementsNotices and agendasMinutes of Board, Committee and EXCO meetingsDisclosure registersGift registersDirector trainingBoard Packs of all laws and legislation relevant to the Group and the implications to the businessTimeous preparation of notices, agendas and board packs for meetings and taking minutes of various meetingsEnsuring that the minutes of the shareholders meetings, directors meetings and other meetings are correctly recorded and distributed timeouslyAdministrative Duties:
Ensure that filing systems and records within the Secretariat are well managed and archived appropriately:
Retirement Schemes records, Insurance contracts, Title Deed records, Trade Mark Register ,Disclosure registers, Lease agreements, Land Claims registerTrademarks/Property/Intellectual Property:
Overseeing trademark and property registrations to ensure that the Group and its subsidiaries are suitably protected Monitor Group leasing arrangements and land claims
