The Group's four business clusters (Sanlam Life and Savings, Sanlam Investment Group, Sanlam Emerging Markets and Santam) house the Group's business operations. The Group Office provides strategic direction and support to the four clusters, assisting them in realising their strategies and meeting their business objectives. The Group Office is responsible for governance and for the Group's centralised functions, which include:
Finance, Actuarial and Risk Management, Strategy, Human Resources, Market Development and Brand Services.
What will you do?
Responsible for the company secretarial function and responsibilities may include other administrative requirements of the organisation. Responsible for ensuring that all statutory requirements and particularly those specified by the Company's Act are complied with. What will make you successful in this role?
Provide support to the Group Company Secretary.
Assist with the Statutory Duties of being a Public Officer.
Assist the Group Company Secretary to draft Company Secretarial input to the Integrated Annual Reporting suite and Board related submissions.
Provide support services to the Board, Board Committees, Quarterly Business Reviews &
Group Exco members.
Research and draft (legal) opinions relevant to Company Secretariat/Corporate Governance related aspects.
Research, analyse and provide support relating to applicable regulatory requirements and/or amendments (e.G. Companies Act, Johannesburg Stock Exchange (JSE) Listing Requirements, and King IV etc.) and any other relevant corporate governance, industry requirements specific requirements and/or best practices.
Research and keeping abreast of Legal / Financial matters related to the insurance industry.
Assist with rendering support services to the Sanlam Foundation, Archives and the Shareholder Liaison departments.
Assist and compile Board, Board Committee, Group Exco and Forum minutes, agendas and annual workplans.
Arrange/draft Board and Board Committee working and submission papers in advance.
Assist with the preparation of Board and Committee meeting packs &
the publishing thereof on digital platforms (e.G. Diligent).
Assist in co-ordinating all Boards meetings, Board Committee meetings, Group Exco meetings, Annual General Meetings, etc.
Arrange if and when required the logistics, venues, travel arrangements, parking, catering etc. for key stakeholders (i.E. with the assistance of a personal assistant).
Liaison with the Sponsors, JSE and Transfer Secretaries, internal and external auditors, etc as and when required.
Provide assistance and support to statutory audits and internal audit process.
Draft, assist and/or provide support with regards to regulatory reporting.
Assist with/provide input to the departmental budget. Oversee the CIPC function and related staff.
Manage the compliance functions related to the Prudential Authority/Regulatory uploads.
Manage and support other Company Secretaries in The Group. Qualifications, Knowledge and Experience
Qualification(s)
Chartered Accountant or Admitted/Qualified Attorney.
LLB and/or B.Comm graduate or a Chartered Secretaries (CIS) qualification.
Other equivalent legal or financial qualifications would be advantageous.
Knowledge
Knowledge of the Sanlam Group structure will be to your advantage.
Knowledge of the latest applicable laws and regulatory requirements (e.G. Companies Act 2008, JSE Listing Requirements amended, Financial Markets Act, Insurance Act, the Governance and Operational Standards for Insurance Groups (GOGs) and Insurers (GOIs).
Knowledge of insurance or other Financial Services Company experience will be to your advantage.
Experience
At least 5 years relevant experience or similar type experience.
Previous experience of working in a corporate environment will be to your advantage, especially listed company exposure.
Exposure to environment with sensitive/confidential information.
Business etiquette on an executive level.
Understanding of King IV compliance.
Excellent drafting capability.
